1. Call to Order:
The Chair, David Clark, called the meeting to order at 6:15 p.m.
2. Executive Session:
Russ Capron moved to go into executive session at 6:15 p.m. to discuss a legal matter, and invited the administration to attend. The motion passed.
The Chair returned the board to open session at 6:43 p.m.
Stephen L. Fine reviewed the events around the legal matter involving Cathy Zielinski. Russ Capron moved that, for the purpose of settling the current situation involving ratification of the Collective Bargaining Agreement, this board hereby approves the terms of the Settlement Proposal made by Jeff Fannan, Attorney for Cathy Zielinski by e-mail of August 17, 2007, 1:34 p.m., to this board’s attorney, and further hereby ratifies the Collective Bargaining Agreement; both of the foregoing actions being subject to, and contingent upon, receipt by the Chair of this board of:
(1) a signed resignation from Cathy Zielinski;
(2) a withdrawal, with prejudice, of the Unfair Labor Practice charge filed with the Vermont Labor Relations Board by Windham Northeast Education Association; and
(3) General Releases from Cathy Zielinski and WNEA in favor of the board and its members, officers, agents, servants, and employees, all of these documents being substantially in the forms thereof annexed

to these minutes, and upon receipt of those documents, the Chair is authorized to execute on behalf of this board the proposed Collective Bargaining Agreement, and to authorize to be paid to Cathy Zielinski the payments set forth in the Settlement Proposal of August 17, 2007 referred to above. Bill Harmon seconded. The motion passed unanimously.
3. Adjournment:
Paul Obuchowski moved to adjourn at 7:04 p.m. The motion passed unanimously.
